These Terms and Conditions ("Terms") govern your access to and use of the MindField mobile application and associated services (collectively, the "Platform"), operated by MagPulse Labs ("MindField", "we", "us"), incorporated in {{OWNER_INPUT:jurisdiction_of_incorporation}}, company number {{OWNER_INPUT:company_registration_number}}.
By creating an account, you confirm that you: (a) are at least 18 years of age; (b) have read, understood, and agree to these Terms and our Privacy Policy; (c) have the legal capacity to enter into a binding agreement. If you do not agree, you must not use the Platform.

3.1 One account per individual. You may not create multiple accounts or share your account credentials.
3.2 You must provide accurate, complete, and current information during registration and keep it up to date.
3.3 You are responsible for all activity under your account. Notify us immediately at support@mindfieldapp.com if you suspect unauthorised access.
3.4 MindField reserves the right to refuse registration or suspend accounts at its sole discretion, including for violation of these Terms.
4.1 MindField operates a fluid identity model. A single account may activate the Seeker, Instructor, and Space Owner roles simultaneously or over time without creating separate accounts.
4.2 Role activation is subject to verification requirements set by MindField, which may include identity verification, certification review, or space inspection.
4.3 Your reputation (reviews, trust score) is associated with your account and applies across all roles you hold.
4.4 Role suspension affects only the suspended role. Your account and other active roles remain accessible unless MindField determines account-level action is required.
5.1 Booking. When you book a Session, you enter into a direct service agreement with the Instructor. MindField facilitates the transaction but is not a party to the service agreement.
5.2 Payment. Full session payment is captured at booking confirmation and held in escrow pending session completion. Payment is processed by Stripe; your card data is held by Stripe and not stored by MindField.
5.3 Cancellation by Seeker. Cancel ≥24h before session start: full refund. Cancel <24h before session start: no refund. Specific sessions may display different cancellation terms; the displayed terms prevail.
5.4 No-Show. Failure to attend without cancellation constitutes a no-show. No refund is issued. Repeated no-shows may affect your trust score.
5.5 Conduct at Sessions. You must conduct yourself respectfully and in accordance with the Instructor's and Space Owner's reasonable instructions. Misconduct may result in removal from the session and account action.
6.1 Session Publication. By publishing a Session, you represent that you have the qualifications and certifications to deliver the session, have permission to use the space, and that the session description is accurate and not misleading.
6.2 Delivery Obligation. Confirmed bookings create an obligation to deliver the session. Cancel ≥48h before start: Seekers receive full refund, no penalty. Cancel <48h before start: Seekers receive full refund; cancellation recorded on your profile. Repeated late cancellations may affect your trust score and platform access.
6.3 Payout. Funds are released from escrow to your earnings wallet after session completion, net of the Platform Fee, via Stripe Connect and subject to Stripe's payout timelines.
6.4 Platform Fee. MindField deducts a platform fee from each session price before payout, displayed in your Instructor dashboard. MindField reserves the right to adjust the fee with 30 days' notice.
6.5 Stripe Connect. You must create or connect a Stripe Connect account to receive payouts and agree to Stripe's Connected Account Agreement. KYC verification is handled by Stripe.
6.6 Independent Contractor. You are an independent contractor, not an employee or agent of MindField, responsible for your own tax obligations, insurance, and regulatory compliance.
6.7 Certifications. You warrant that any certifications you upload are genuine. Submitting false certifications is grounds for immediate termination.
7.1 Space Listing. By listing a space, you represent that you are the owner or have authority to licence it for wellness sessions, that the listing is accurate, and that the space complies with applicable health, safety, and fire regulations.
7.2 Availability. You are responsible for keeping your space availability accurate. Confirmed bookings create an obligation to make the space available.
7.3 Space Inspection. MindField may verify space listings before approval. Approval does not constitute MindField's endorsement of the space's safety or suitability.
7.4 Earnings. Space rental fees are collected by MindField and paid out to your earnings wallet after session completion, net of the Platform Fee. Stripe Connect terms apply.
7.5 Independent Status. You are an independent party, not an employee or agent of MindField, responsible for your own tax obligations and insurance.
8.1 All payments are processed by Stripe. By using the Platform, you agree to Stripe's Terms of Service.
8.2 Prices are displayed inclusive of applicable taxes where required. MindField does not collect VAT on behalf of users; each Instructor and Space Owner is responsible for their own tax obligations.
8.3 Chargebacks initiated without first contacting MindField support may result in account suspension pending investigation.
8.4 MindField does not facilitate payments outside the Platform. Any off-platform payment arrangement between users is prohibited and may result in account action.
You must not: use the Platform for any unlawful purpose; post false, misleading, or fraudulent listings or reviews; harass, threaten, or abuse other users; attempt to circumvent the Platform's payment system to transact off-platform; create multiple accounts or impersonate another person; reverse-engineer, scrape, or extract data from the Platform; advertise services delivered remotely or via streaming; submit false certifications, qualifications, or space documentation; or engage in conduct that could damage MindField's reputation or the trust of platform users.
10.1 MindField operates a Trust & Safety system. Reports of misconduct are reviewed by our moderation team.
10.2 Enforcement actions may include: warning, content removal, role suspension, account suspension, or permanent ban, depending on severity.
10.3 You will be notified of enforcement actions affecting your account. Most actions are appealable within 14 days of notice.
10.4 MindField's moderation decisions are final after the appeal process is exhausted, subject to your legal rights.
11.1 Reviews may only be submitted by users who have completed a booking with the reviewed party.
11.2 Reviews must be honest and based on genuine experience. Fake reviews are prohibited and may result in account action.
11.3 MindField may remove reviews that violate these Terms. We do not remove reviews solely because a subject disagrees with them.
11.4 Your trust score is calculated from reviews and platform activity and affects your visibility and access to certain features.
12.1 The MindField platform, brand, design, and software are owned by MagPulse Labs and protected by applicable intellectual property laws.
12.2 You retain ownership of content you submit (photos, session descriptions, reviews). By submitting content, you grant MindField a non-exclusive, worldwide, royalty-free licence to display, reproduce, and distribute your content on the Platform for the purpose of operating the service.
12.3 You must not submit content that infringes any third party's intellectual property rights.
13.1 MindField is a marketplace platform. We do not employ Instructors or operate spaces. We do not warrant the quality, safety, or suitability of any Session or Space.
13.2 Seekers attend Sessions at their own risk. Instructors are responsible for conducting sessions safely and in accordance with their professional obligations.
13.3 To the maximum extent permitted by applicable law, MindField's liability to you is limited to the amount you paid for the relevant booking in the preceding 12 months.
13.4 MindField is not liable for indirect, incidental, or consequential damages; personal injury sustained at a session; loss of data; or any event outside our reasonable control.
13.5 Nothing in these Terms limits MindField's liability for death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any liability that cannot be excluded under Portuguese or EU consumer protection law.
14.1 By you: You may close your account at any time via Settings → Account → Close Account, subject to resolution of any pending bookings.
14.2 By MindField: We may suspend or terminate your account immediately for material breach of these Terms, or with 30 days' notice for any other reason.
14.3 On termination: your access to the Platform ceases; pending payouts are processed; data is handled per our Privacy Policy and retention schedule.
15.1 These Terms are governed by the laws of Portugal and the European Union.
15.2 Disputes shall first be referred to MindField's support team for informal resolution. If unresolved within 30 days, disputes may be referred to the competent courts of Portugal, without prejudice to your rights as a consumer under applicable EU law.
15.3 EU consumers may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
We may update these Terms from time to time. Material changes will be notified via in-app notice and email at least 30 days before taking effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
